The problem was the mysql server wouldn't stop. I killed all mysqld processed and then tried again; it worked.

AFAIK and Understand the installation or upgrade script must first check for the running instance of the program, prompt for closing it or close/kill it forcibly. I used to write RPM scripts and hope that must have been done in .deb too. The issue was last time when the upgrade went ok and my MySQL tables were corrupted and I could not login to MySQL server, all my apps stopped working. Some how I managed to re install MySQL but that didnt help either and at then end some one in IRC suggested me to run "mysql_upgrade" script and restart MySQL. It helped and I did loose my data in all this.

I got the same error... just tried to manually run '/etc/init.d/mysql stop' and it fails.

Tried stopping the mysql service, it was stopped, but didn't solve the problem.

I cannot stop the server by hand either. I found out the script must run

/usr/bin/mysqladmin --defaults-file=/etc/mysql/debian.cnf shutdown

...and when I sudo this by hand, I get:

/usr/bin/mysqladmin: connect to server at 'localhost' failed
error: 'Access denied for user 'debian-sys-maint'@'localhost' (using password: YES)'

So, there must be a mismatch between the password in debian.cnf and the password actually in use for debian-sys-maint.

I ran the following SQL-statement under the MySQL-root user:

UPDATE mysql.user SET Password=PASSWORD([The password found in /etc/mysql/debian.cnf]) WHERE User="debian-sys-maint";

And after I flushed the privileges, the update of 5.1 was successful.
